These terms govern your use of the AI Health System Council website and, if accepted into the council, your membership. Please read them carefully before submitting an application.
Part I — Terms of Membership
1. About the Council
The AI Health System Council (the "Council") is a private, invitation-only peer advisory council operated by Dr. Harvey Castro and Dr. David Rhew ("Founders"). The Council provides educational programming, peer discussion, and access to a curated resource library for senior healthcare executives navigating artificial intelligence decisions.
The Council is not a licensed medical, legal, financial, or technology advisory firm. All content shared within the Council is for educational and informational purposes only. Nothing shared in sessions, the member portal, or any Council materials constitutes professional advice. Members are responsible for conducting their own due diligence and consulting appropriate licensed professionals before making any organizational decisions.
2. Membership Eligibility
Membership is limited to senior healthcare executives, including but not limited to Chief Executive Officers, Chief Medical Officers, Chief Medical Information Officers, Chief Digital Officers, and equivalent C-suite or VP-level leaders at accredited health systems, hospital networks, or healthcare organizations.
The Founders reserve the sole and absolute right to accept or decline any application without explanation. Submission of an application does not guarantee membership. The Founding Cohort is limited to fifty (50) members.
3. Membership Fees
The Founding Cohort annual membership fee is $20,000 USD per year, billed annually. Future cohort pricing is subject to change and may be set at $30,000–$50,000 per year at the Founders' discretion. Membership fees are non-refundable except as required by applicable law.
Members will receive written notice of any fee changes no less than sixty (60) days prior to renewal. Continued membership following such notice constitutes acceptance of the revised fees.
4. Confidentiality
The Council operates under a strict Chatham House Rule: information shared during sessions and in the member portal may be used and discussed externally, but the identity of the speaker or organization may not be attributed without explicit written consent.
Members agree not to record, screenshot, distribute, or publish any session content, discussion board posts, or member directory information without prior written approval from the Founders. Breach of this obligation may result in immediate termination of membership without refund.
5. Code of Conduct
Members agree to engage in good faith, treat fellow members with professional respect, and refrain from using the Council for commercial solicitation, vendor promotion, or competitive intelligence gathering. The Council is a vendor-neutral environment.
The Founders reserve the right to terminate any membership, at their sole discretion, for conduct that undermines the integrity, safety, or purpose of the Council.
6. Intellectual Property
All frameworks, playbooks, session recordings, and materials produced by the Founders and made available through the Council are the intellectual property of the AI Health System Council. Members are granted a limited, non-transferable, non-exclusive license to use these materials for their own internal organizational purposes only.
7. Limitation of Liability
To the maximum extent permitted by applicable law, the Council, its Founders, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your membership or use of Council materials, even if advised of the possibility of such damages.
The Council's total liability to any member for any claim arising out of or relating to membership shall not exceed the annual membership fee paid by that member in the twelve (12) months preceding the claim.
8. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Dallas, Texas, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
Part II — Privacy Notice
This Privacy Notice applies to information collected through the AI Health System Council website (aihealthsystemcouncil.com) and the member portal. It is provided in compliance with the California Consumer Privacy Act (CCPA/CPRA), California SB 220, and applicable federal privacy standards.
9. Information We Collect
We collect the following categories of personal information:
- Identifiers: Name, email address, professional title, organization name.
- Professional information: LinkedIn profile URL, health system revenue range, referral source, and the AI challenges you describe in your application.
- Usage data: Pages visited, time on site, browser type, and IP address (collected automatically via standard web server logs).
- Member portal data: Discussion posts, replies, resource interactions, and profile information you choose to provide.
We do not collect Social Security numbers, financial account numbers, health information, biometric data, or geolocation data.
10. How We Use Your Information
We use the information we collect to:
- Review and process your membership application.
- Communicate with you about your application status and membership.
- Operate the member portal, including discussions and the resource library.
- Send session reminders, updates, and council communications.
- Improve the website and council programming.
We do not sell your personal information. We do not use your information for automated decision-making or profiling that produces legal or similarly significant effects.
11. Information Sharing
We do not sell, rent, or trade your personal information to third parties. We may share your information with:
- Service providers: Technology vendors who operate the website and member portal under confidentiality obligations (e.g., hosting, email delivery).
- Other members (limited): If you opt into the member directory, your name, title, organization, and bio will be visible to other approved members only.
- Legal requirements: If required by law, court order, or to protect the rights and safety of the Council or its members.
12. Your California Privacy Rights (CCPA/CPRA)
If you are a California resident, you have the following rights:
- Right to Know: You may request a list of the personal information we have collected about you and how it has been used or shared.
- Right to Delete: You may request deletion of your personal information, subject to certain exceptions.
- Right to Correct: You may request correction of inaccurate personal information.
- Right to Opt Out of Sale: We do not sell personal information. No opt-out is required.
- Right to Non-Discrimination: We will not discriminate against you for exercising any of these rights.

13. Data Retention
Application data is retained for a maximum of three (3) years from the date of submission, or for the duration of your membership plus two (2) years, whichever is longer. You may request deletion at any time, subject to legal retention obligations.
14. Cookies and Tracking
This website uses essential session cookies required for authentication and site functionality. We do not use third-party advertising cookies or cross-site tracking technologies. Standard web server logs (IP address, browser type, pages visited) are retained for up to 90 days for security and performance purposes.
15. Children's Privacy
This website is intended for healthcare professionals and is not directed at individuals under the age of 18. We do not knowingly collect personal information from minors.
16. Changes to This Notice
We may update this Privacy Notice from time to time. Material changes will be communicated to members via email at least 30 days before taking effect. The "Last Updated" date at the top of this page reflects the most recent revision.
